Provided the Reporting Person is still employed with the Issuer on the following dates, the restricted stock units ("RSUs") and options are each exercisable as follows: (i) RSUs and options for the purchase of one-third of such shares shall vest on the one-year anniversary of the date of grant; and (ii) the remaining RSUs and options shall vest in eight equal quarterly installments over the next two years, commencing with the first quarter following the first anniversary of the date of grant. Each RSU represents a contingent right to receive one share of the Issuer's common stock. Each performance stock unit ("PSU") converts into one share of the Issuer's common stock. Up to 135,000 shares of the Issuer's common stock underlying the PSUs may be earned subject to achievement of certain regulatory milestones. Such earned PSUs shall vest on the date that the Issuer publicly discloses on a Form 8-K with the U.S. Securities and Exchange Commission its receipt of certain regulatory milestones.
