The SEC XML stores every transaction. Raspberry keeps that evidence, reads the footnotes and separates voluntary open-market activity from vesting, option exercises, gifts, tax withholding, stock purchase and dividend reinvestment plans and pre-programmed 10b5-1 trades.
On December 12, 2025, Mast Hill Fund, L.P. ("Mast Hill") and The Kambiz & Bahareh Mahdi Living Trust, which may be deemed to be beneficially owned by the Company's CEO, Kambiz Mahdi (the "Mahdi Trust"), entered into a Purchase and Assignment Agreement, pursuant to which Mast Hill would sell the remaining unexercised portion of the Common Stock Purchase Warrant issued to Mast Hill by the Company on February 27, 2025 (the "Warrant"), to the Mahdi Trust for $10.00 (the "Purchase Price"). The Warrant originally entitled the holder to purchase 310,000 shares of issuer common stock at an exercise price of $2.50/share, with such number of shares and exercise price subject to adjustment as provided in the Warrant. On December 15, 2025, the Mahdi Trust paid the Purchase Price, and the transaction closed.
